End-User Agreement

1. Agreement and eligibility

This End-User Agreement ("Agreement") governs access to private software services and integrations (the "Service") operated by Now Open LLC ("Now Open," "we," "us," or "our"). By accessing the Service, you agree to this Agreement. You may use the Service only if Now Open LLC has expressly authorized you to do so.

2. Limited license

Subject to this Agreement, Now Open LLC grants each authorized user a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for approved internal business purposes. No ownership interest is transferred.

3. Accounts and security

You must use your own authorized account, protect your authentication methods, and promptly report suspected unauthorized access. You may not share access, bypass security controls, or permit an unauthorized person to use the Service.

4. Acceptable use

You may not use the Service unlawfully; attempt to disrupt or gain unauthorized access to it; introduce malicious code; reverse engineer it except where such restriction is prohibited by law; export information for an unauthorized purpose; or use business data in a manner inconsistent with company policy or applicable law.

5. Business information and integrations

The Service may display information obtained from QuickBooks Online, point-of-sale systems, and other services authorized by Now Open LLC. You authorize the Service to retrieve and process such information for approved internal business purposes. You remain responsible for reviewing source records and maintaining appropriate access permissions.

Third-party services are governed by their own agreements. Their availability, accuracy, and functionality are outside our control, and changes to those services may affect the Service.

6. Reports and recommendations

The Service provides informational business reports, estimates, forecasts, and automated recommendations. They may be incomplete or inaccurate and do not replace accounting, legal, tax, compliance, or professional advice. Authorized users are responsible for verifying material decisions against source records and qualified advisers.

7. Ownership and confidentiality

The Service, including its design, software, and documentation, is owned by or licensed to Now Open LLC. Business information displayed through the Service is confidential and may be used only for authorized company purposes. You must protect it from unauthorized access or disclosure.

8. Availability and disclaimer

To the extent permitted by law, the Service is provided "as is" and "as available." We do not guarantee uninterrupted availability or that every report, calculation, forecast, or integration will be error-free. We disclaim implied warranties to the extent permitted by applicable law.

9. Limitation of liability

To the maximum extent permitted by law, Now Open LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Service, reliance on a report or recommendation, unauthorized access caused by a user's actions, or the operation of a third-party service.

10. Suspension and termination

Now Open LLC may suspend or terminate access at any time, including when authorization ends, security is at risk, or this Agreement is violated. Upon termination, you must stop using the Service and any information obtained from it except as otherwise authorized or legally required.

11. Governing law

This Agreement is governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any mandatory rights available under applicable law remain unaffected.

12. Changes and contact

We may update this Agreement as the Service or applicable requirements change. Continued authorized use after an update constitutes acceptance of the updated Agreement. Questions may be sent to hello@verygood.plus.
